inGoodLife Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is entered into by and between inGoodLife, LLC, a Florida limited liability company (“Company,” “inGoodLife,” “we,” or “us”), and the individual or entity applying to participate in the inGoodLife Affiliate Program (“Affiliate,” “you,” or “your”).

By submitting an application to, or participating in, the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Appointment & Relationship

Subject to approval, Company appoints Affiliate as a non-exclusive, independent affiliate authorized to promote inGoodLife products through approved affiliate links.

Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship. Affiliate has no authority to bind Company in any manner.

2. Application & Acceptance

Participation is open to public applications; all applications are subject to manual review and approval.
Company reserves the right to accept or reject any application in its sole discretion.
Company may suspend or terminate an Affiliate account at any time as provided in this Agreement.

3. Approved Promotional Methods

Affiliate may promote inGoodLife products only through lawful, ethical channels, including:

YouTube videos and channels
Blogs and websites
Social media platforms
Opt-in email newsletters

Any promotional method not listed above requires prior written approval from Company.

4. Affiliate Obligations

Affiliate agrees to:

Promote inGoodLife products truthfully and accurately.
Comply with all applicable laws, regulations, and platform policies.
Clearly and conspicuously disclose affiliate relationships in accordance with FTC endorsement guidelines.
Avoid representing content as medical advice or professional healthcare guidance.

5. Health, Supplement & Claims Compliance

Because inGoodLife products are dietary supplements, Affiliate expressly agrees that they shall not:

Make medical, disease-related, or therapeutic claims.
State or imply that products diagnose, treat, cure, or prevent any disease.
Guarantee results, outcomes, or timelines.
Misrepresent personal credentials or professional qualifications.

Permissible statements are limited to general wellness, structure/function support, and personal experience statements that do not imply medical claims.

Company reserves the right to require modification or removal of any non-compliant content.

6. Prohibited Conduct

Affiliate shall not:

Use spam, deceptive advertising, or misleading marketing practices.
Bid on inGoodLife trademarks, brand names, or variations thereof in paid search advertising without prior written consent.
Create websites, domains, or social media accounts that impersonate or appear affiliated with inGoodLife.
Use unauthorized coupons, discounts, or incentives.
Encourage refunds, chargebacks, or fraudulent transactions.

Violation of this Section may result in immediate termination and forfeiture of unpaid commissions.

7. Commissions

Affiliate shall earn a 15% commission on qualifying sales generated through approved affiliate links.
Commissions apply only to completed, non-refunded transactions.
Commissions become payable only after the applicable customer return or refund period has expired.
Company reserves the right to reverse commissions for refunded, charged-back, or fraudulent transactions.
Commission rates may be modified prospectively upon notice.

8. Payment Terms

Commissions are calculated monthly and become eligible for payment only after satisfaction of the conditions set forth in Section 7.
Payments are issued monthly following the close of the eligibility period.
A minimum payout threshold may apply.
Affiliate is responsible for providing accurate payment and tax information.
Company may withhold, delay, or offset payments due to refunds, chargebacks, suspected fraud, or violations of this Agreement.

9. Taxes

Affiliate is solely responsible for all federal, state, and local taxes arising from commissions earned. Company does not withhold taxes on Affiliate’s behalf.

10. Intellectual Property

All trademarks, logos, product names, branding, and marketing materials are the exclusive property of inGoodLife.

Affiliate is granted a limited, revocable, non-exclusive license to use approved marketing assets solely for purposes of promoting inGoodLife products during the term of this Agreement.

All goodwill generated inures exclusively to Company.

11. Influencer & Content Disclosure

Affiliate must ensure that all promotional content:

Includes clear, conspicuous, and unavoidable affiliate disclosures.
Complies with FTC endorsement and testimonial requirements.
Includes verbal disclosures in video content where reasonably possible.

12. Limited Non-Compete

During participation in the Affiliate Program, Affiliate shall not promote counterfeit or misleading products that falsely claim to be identical to or derived from inGoodLife using inGoodLife branding or intellectual property.

This provision does not restrict Affiliate from promoting other wellness or supplement products generally.

13. Term & Termination

This Agreement becomes effective upon Affiliate’s acceptance into the program.
Either party may terminate this Agreement at any time, with or without cause.
Upon termination, Affiliate must immediately cease use of affiliate links and inGoodLife marketing materials.
Unpaid commissions may be forfeited if termination results from a breach of this Agreement.

14. Limitation of Liability

To the maximum extent permitted by law, inGoodLife shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to participation in the Affiliate Program.

15. Indemnification

Affiliate agrees to indemnify and hold harmless inGoodLife from any claims, losses, damages, or expenses arising from:

Affiliate’s promotional activities or content
Breach of this Agreement
Violation of applicable laws or third-party rights

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

17. Modifications

Company may modify this Agreement at any time. Continued participation in the Affiliate Program constitutes acceptance of any revised terms.

18. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements or understandings.

By applying to or participating in the inGoodLife Affiliate Program, Affiliate agrees to the terms of this Agreement.
